1. Agreement to Terms

By accessing or using Abbey ("the Service"), operated by Abbeygate ("we", "our", or "us"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms. If you do not agree to these terms, do not use the Service.

2. Description of Service

Abbey is an ERP platform designed for wholesale distribution. The Service includes software for managing customers, contacts, products, sales orders, invoices, accounting, inventory, and related business operations. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. Account Registration and Security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these terms. You must not:

  • Use the Service in any way that violates applicable laws or regulations
  • Infringe on the intellectual property or other rights of any third party
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to send spam or unsolicited communications
  • Resell, sublicense, or commercially exploit the Service without our written consent

We may suspend or terminate your access if we determine that you have violated these terms or engaged in conduct that we deem harmful to the Service or other users.

5. Your Data and Content

You retain ownership of the data and content you submit to the Service ("Your Data"). By using the Service, you grant us a limited license to host, store, process, and display Your Data as necessary to provide the Service. You are solely responsible for Your Data and warrant that you have all rights necessary to provide it to us. We are not responsible for the content, accuracy, or legality of Your Data.

6. Intellectual Property

The Service, including its software, design, features, and documentation, is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes in accordance with these terms. You may not copy, modify, distribute, reverse engineer, or create derivative works of the Service without our prior written consent.

7. Subscription, Fees, and Payment

Access to the Service may be subject to subscription fees as specified in your agreement with us. Fees are due as set forth in your subscription terms. We may change our fees upon reasonable notice. Failure to pay fees when due may result in suspension or termination of your access. All fees are non-refundable unless otherwise specified.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, REVENUE, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Abbeygate and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Data, or your violation of these terms or any applicable law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access for any reason, including breach of these terms or non-payment of fees. Upon termination, your right to use the Service ceases immediately. We may retain Your Data for a reasonable period as required by law or for legitimate business purposes, after which it may be deleted. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

12. Changes to Terms

We may modify these terms at any time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified terms. If you do not agree to the modified terms, you must stop using the Service.

13. General Provisions

These terms constitute the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right does not waive that right. You may not assign these terms without our consent; we may assign them without restriction. These terms are governed by the laws of the jurisdiction in which Abbeygate is incorporated, without regard to conflict of law principles.
